3. Project Agreements
3.1 Proposals and Contracts
All projects require a signed agreement outlining scope, timeline, milestones, payment terms, and deliverables.
3.2 Changes and Revisions
We embrace agile development and accommodate reasonable scope changes. Major changes may require timeline and budget adjustments, which will be communicated in writing.
3.3 Client Responsibilities
Clients must provide:
- Timely feedback and approvals
- Required access credentials and assets
- Clear communication of requirements
- Payment according to agreed schedules
4. Payment Terms
4.1 Fees and Invoicing
Project fees are outlined in the signed agreement. Payment schedules typically include:
- Deposit upon project commencement
- Milestone payments during development
- Final payment upon project completion
4.2 Late Payments
Late payments may result in project suspension or termination. Interest may be charged on overdue amounts.
4.3 Refunds
Deposits are non-refundable once work has commenced. Refund eligibility for other payments depends on work completed and is determined case-by-case.
5. Intellectual Property
5.1 Client Ownership
Upon full payment, clients own the final deliverables and custom code developed specifically for their project.
5.2 BrainCodesLab Ownership
We retain ownership of:
- Pre-existing code, frameworks, and libraries
- General methodologies and processes
- Tools and infrastructure used in development
5.3 Portfolio Rights
We may showcase completed projects in our portfolio unless confidentiality is explicitly required.
6. Confidentiality
We respect client confidentiality and will not disclose proprietary information. Non-disclosure agreements (NDAs) can be signed upon request.
7. Warranties and Disclaimers
7.1 Service Quality
We strive to deliver high-quality, bug-free code. However, all software is provided "as-is" and may require ongoing maintenance.
7.2 Third-Party Services
We are not responsible for issues caused by third-party services, APIs, or hosting providers beyond our control.
7.3 Performance Guarantees
While we aim for 99.9% uptime on our infrastructure, we cannot guarantee uninterrupted service due to factors beyond our control (e.g., network outages, DDoS attacks).
8. Limitation of Liability
BrainCodesLab's liability is limited to the amount paid for services rendered. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss.
9. Support and Maintenance
9.1 Post-Launch Support
We offer ongoing support and maintenance plans. Details are outlined in separate agreements.
9.2 Bug Fixes
Critical bugs identified within 30 days of launch are fixed at no additional cost. Non-critical issues may require a maintenance agreement.
10. Termination
10.1 Client Termination
Clients may terminate projects with written notice. Payment is due for all work completed up to the termination date.
10.2 BrainCodesLab Termination
We reserve the right to terminate projects due to non-payment, lack of communication, or breach of terms.
11. Hosting and Infrastructure
11.1 Our Hosting
If hosted on our infrastructure, clients must comply with acceptable use policies. We reserve the right to suspend services for violations.
11.2 Client Hosting
If hosted on client infrastructure, we are not responsible for server management, security, or uptime.
12. Acceptable Use Policy
Clients must not use our services for:
- Illegal activities or content
- Malware, phishing, or hacking
- Spam or unsolicited communications
- Violating third-party rights
13. Dispute Resolution
Disputes will be resolved through good-faith negotiation. If unresolved, disputes are subject to arbitration or mediation before legal action.
14. Governing Law
These Terms are governed by the laws of Pakistan. Any legal proceedings will be conducted in the courts of Pakistan.
15. Changes to Terms
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the new terms.
